SHAPES

RECITAL I — PRIOR DESIGNATION

WHEREAS, the parent entity of BenCorp has heretofore been known and designated as "One Guy From Green Bay," a designation both geographically accurate and personally flattering to the Guy in question, but increasingly insufficient for the multi-subsidiary ambitions of an Anatomical Holding Company operating in continuous session since incorporation;

RECITAL II — ALPHABETICAL PRECEDENT

WHEREAS, certain well-known technology holding companies have successfully reorganized under brand identities derived from complete sequential letter systems (see: Alphabet¹), thereby establishing precedent for corporate naming schemes based on abstract linguistic or geometric concepts rather than specific individuals, locations, or organs;

RECITAL III — THE SHAPES FRAMEWORK

WHEREAS, the concept of Shapes — being circles, squares, triangles, and other biomorphic irregulars² — represents a more expansive, scalable, and geometrically honest framework for organizing the complex portfolio of entities currently under the One Guy From Green Bay umbrella, including but not limited to BenCorp, Ben's Wallet (a Triangulation Subsidiary), and any future subsidiaries that may be formed when Gerald finishes his tabs;

RECITAL IV — TRIANGULATION SUBSIDIARIES

WHEREAS, Ben's Wallet by BenCorp.net has been formally designated a Triangulation Subsidiary of SHAPES Inc., organized under the Triangle Framework, and shall continue to offer tiered access to Ben's personal wallet subject to all applicable Terms, Terms of Terms, Additional Terms, Another Set of Terms, and the Gary Policy;

RECITAL V — APPENDIX APPROVAL

WHEREAS, this restructuring has been reviewed and approved by the Appendix, BenCorp's internal legal, compliance, and rubber-stamping division, which approved enthusiastically, as the Appendix has nothing else to do;

RECITAL VI — CONTINUITY OF OPERATIONS

WHEREAS, BenCorp shall remain a wholly-owned subsidiary of SHAPES, operating as it always has — which is to say, technically, and with great conviction, and without a fully coherent explanation of what it does — under the continued governance of its existing Internal Organs Division and all associated personnel (including Carl, notwithstanding Carl's stated objections); and

RECITAL VII — ANTICIPATED IMPACT

WHEREAS, the practical impact of this restructuring on day-to-day BenCorp operations is expected to be minimal, negligible, or entirely nonexistent, except insofar as all future letterhead shall bear the SHAPES wordmark in the upper-left corner, and all divisional memos must now include at least one (1) shape somewhere on the document, the size and placement of said shape to be determined by the newly-constituted SHAPES Brand Compliance and Geometry Oversight Subcommittee (a division of the Appendix);
